These Terms and Conditions set out the rules for the registration and purchase of passes for digital events organised by Cogneve, Inc., a Delaware corporation, doing business as The Next Web (“TNW”).
Definitions
Agreement
The agreement between You and TNW regarding the online registration and purchase of a Pass for a Digital Event, including these Terms and Conditions.
Digital Event
A digital event organised by TNW that can be accessed through desktop or mobile devices using the access link provided to You before the Digital Event.
Pass
An electronic pass for a Digital Event.
Terms and Conditions
These TNW Digital Events Terms and Conditions.
TNW
Cogneve, Inc., a Delaware corporation, and its affiliated entities.
VAT
Value Added Tax or equivalent applicable sales tax.
Website
The TNW websites, including but not limited to https://thenextweb.com and any other website used by TNW.
You / Your
Any natural person or legal entity that enters into an Agreement with TNW by purchasing a Pass and/or registering for a Digital Event.
Terms and Conditions
1. Applicability
Deviations from these Terms and Conditions apply only if agreed in writing by TNW. Any purchasing or other general terms of You are expressly rejected unless accepted in writing by TNW.
By purchasing a Pass or registering for a Digital Event, You agree to be bound by these Terms and Conditions.
2. Availability
These Terms and Conditions are made available prior to concluding the Agreement and can be consulted via the Website.
3. Registration on Behalf of Others
If You register on behalf of another person, You must inform that person of these Terms and arrange for their acceptance.
Conclusion of Agreement
4. Formation
By clicking “Checkout” or “Continue” on the Website, You conclude an Agreement with TNW for the purchase of a Pass, provided You have completed required fields and accepted these Terms and Conditions.
5. Confirmation Email
You will receive an automatically generated confirmation email. The email containing the access link will be provided before the Digital Event. Please check spam folders if necessary.
6. Contact Permission
By submitting registration details, You agree to allow TNW to contact You for the organisation and administration of the Digital Event. TNW may cancel the reservation if information cannot be verified.
Payment of Pass and Registration Fee
7. Pricing
Prices are displayed with or without applicable VAT or local taxes. Payment must be made in Euros, unless otherwise stated.
8. Payment Deadline
The registration fee must be paid prior to the Digital Event.
9. Pay Later
If a “pay later” option is selected, the invoice must be paid within twenty-eight (28) days of the invoice date.
10. Non-Payment
TNW reserves the right to cancel a Pass if payment deadlines are not met.
Transfer and Refund Policy
11. Transfer
If You cannot attend, You may transfer Your Pass to a third party using the link provided in the confirmation email. No refunds will be issued for non-attendance.
12. Resale Prohibition
Passes may not be resold or transferred for commercial gain. TNW may cancel such Passes without refund.
13. Withdrawal
You may cancel the purchase of a Pass within fourteen (14) days after purchase by sending a written cancellation request to [email protected].
Passes purchased within fourteen (14) days prior to the Digital Event are non-refundable.
Approved refunds are subject to a €50 (fifty euro) processing fee and will be issued using the original payment method where possible.
Changes or Cancellation of the Digital Event
14. Rescheduling
In case of force majeure or unforeseen circumstances, TNW may reschedule the Digital Event. Access will be provided at the later date. No refunds will be issued for rescheduling.
15. Program Changes
TNW may modify speakers, topics, or content without liability. No refunds apply for such changes.
16. Cancellation
If TNW cancels the Digital Event entirely, liability is limited to reimbursement of the registration fee.
17. No Responsibility for Loss
TNW is not responsible for costs or losses incurred due to substitution, alteration, cancellation, or postponement.
Code of Conduct
18. Code of Conduct
All participants must comply with the TNW Event Code of Conduct, which forms an integral part of these Terms and Conditions.
The Code of Conduct is made available on the Website and/or communicated prior to or during the Digital Event.
Intellectual Property
19. Intellectual Property Rights
Attendance does not grant permission to use TNW or third-party intellectual property.
User Generated Content
20. User Content
The Digital Event platform may allow questions or other user-generated content (“UGC”). TNW does not guarantee that all submissions will be addressed.
21. License to TNW
By submitting UGC, You grant TNW a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, publish, distribute, and commercially exploit such UGC without compensation and with or without attribution. You waive any moral rights.
22. Prohibited Content
You must not publish UGC that:

Is not your original work

Contains advertising or spam

Is unlawful, threatening, abusive, defamatory, indecent

Is discriminatory

Personally attacks speakers or participants
Photography and Recordings
23. Recording
All Digital Event sessions may be recorded. If You do not consent to being recorded, You may choose not to participate or leave the session.
24. No Unauthorized Recording
You may not record, reproduce, or commercially use event materials without written permission.
25. TNW Usage Rights
TNW may use recordings and photographs worldwide, in perpetuity, for promotional, commercial, and reporting purposes without compensation.
26. Waiver
You waive claims relating to such usage.
Digital Event Application Profile
27. Profile Visibility
By registering and creating a profile, Your profile may be visible within the Digital Event application, subject to Your explicit consent.

Third Parties
28. Third Party Links
The Digital Event platform may contain links to third-party websites. TNW is not responsible for third-party practices.
Access and Liability
29. Compliance with Laws
You agree to comply with all applicable laws in connection with your participation in the Digital Event.
30. Removal
TNW may remove access for unacceptable behavior or breach of these Terms or the Code of Conduct without refund.
31. Speaker Views
Views expressed by speakers are their own. TNW disclaims liability for advice or opinions.
32. Limitation of Liability
TNW is liable only for direct damages caused by willful misconduct or gross negligence. Liability is capped at the Pass purchase price.

33. Personal Data

General
34. Severability
If any provision is invalid, the remainder remains in effect.
35. Amendments
TNW may update these Terms at any time. Updates take effect upon publication on the Website.

Governing Law and Jurisdiction
37. Governing Law
These Terms and the Agreement are governed by the laws of the State of Delaware, without regard to conflict of law principles.
38. Jurisdiction
Any disputes shall be submitted to the state or federal courts located in the State of Delaware, and You consent to their jurisdiction.
