TNW In-Person Events – Terms and Conditions

These Terms and Conditions (“Terms”) govern the registration, purchase, and attendance at in-person events organized by Cogneve, Inc., a Delaware corporation, doing business as The Next Web (“TNW”, “we”, “us”, or “our”).
By purchasing a pass, registering for, or attending any TNW in-person event (the “Event”), you (“You” or “Your”) agree to be legally bound by these Terms. If you do not agree, you must not attend the Event.
1. Definitions
For the purposes of these Terms:
“Agreement” means the legally binding agreement between You and TNW formed upon completion of registration or purchase of a Pass.
“In-person Event” means any physical event organized, hosted, or operated by TNW.
“Pass” means any credential, ticket, or authorization, whether digital or physical, granting access to an Event.
“You” or “Your” means any individual or legal entity purchasing, holding, or using a Pass.
2. Formation of the Agreement
An Agreement between You and TNW is formed when You complete the registration or purchase process and receive confirmation of Your Pass. You are responsible for ensuring that all information provided during registration is accurate and complete. TNW reserves the right to refuse or cancel registrations where inaccurate or misleading information has been provided.
3. Ticketing and Third-Party Platforms
TNW uses Tito as its ticketing and registration platform. Your purchase may therefore also be subject to the terms and technical requirements of that platform.
While TNW selects its service providers carefully, TNW shall not be liable for any errors, outages, delays, or failures attributable to third-party platforms, including payment processing issues, technical interruptions, or system failures beyond TNW’s reasonable control.
4. Payment Terms
All fees for Passes must be paid in full prior to the Event unless otherwise expressly agreed in writing. TNW reserves the right to cancel or invalidate any Pass where payment has not been received within the specified timeframe.
All prices are stated in Euros unless otherwise indicated and may be subject to applicable taxes.
5. Transfers and Resale Restrictions
Passes are issued for personal or internal business use only. You may transfer a Pass to another individual using the official transfer mechanism provided by TNW.
The resale, auction, or transfer of Passes for commercial gain or profit is strictly prohibited. TNW reserves the right to cancel any Pass that has been resold or transferred in violation of this clause, without refund or compensation.
6. Withdrawal, Cancellation, and Refunds
You may exercise your right to cancel your purchase within fourteen (14) days of purchase by submitting a written request to [email protected], unless the Event is scheduled to occur within that period.
Except as required by applicable law, Passes are non-refundable in the event of non-attendance, travel disruption, personal circumstances, or other factors beyond TNW’s control. Where a refund is granted, TNW reserves the right to deduct a reasonable administrative fee, including but not limited to a €50 processing fee.
7. Event Changes, Cancellation, and Force Majeure
TNW reserves the right to modify the Event, including its schedule, venue, speakers, or content, where reasonably necessary. Such modifications shall not entitle You to a refund.
TNW may cancel or reschedule an Event due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, public health emergencies, governmental restrictions, labor disputes, venue unavailability, or speaker cancellations.
In the event of cancellation, TNW’s liability shall be limited to a refund of the amount paid for the Pass. TNW shall not be responsible for any additional costs incurred by You, including travel, accommodation, or other related expenses.
8. Code of Conduct and Right of Removal
All attendees are required to comply with the TNW Event Code of Conduct, which forms an integral part of these Terms.
TNW reserves the right, at its sole discretion, to refuse admission or remove any attendee from the Event without refund where such attendee engages in behavior that TNW considers inappropriate, disruptive, unsafe, unlawful, or in violation of these Terms or the Code of Conduct.
9. Assumption of Risk
You acknowledge that attendance at an Event involves inherent risks, including but not limited to the risk of personal injury, illness (including communicable diseases), loss of property, or other unforeseen harm.
By attending the Event, You voluntarily assume all such risks and agree that TNW shall not be liable for any resulting injury, loss, or damage, except to the extent caused by TNW’s willful misconduct.
10. Intellectual Property
All content presented at or in connection with the Event, including but not limited to presentations, materials, branding, trademarks, and audiovisual content, is the property of TNW or its licensors.
You may not reproduce, distribute, record, broadcast, or otherwise exploit any such content for commercial purposes without the prior written consent of TNW.
11. Photography, Recording, and Media Release
The Event may be recorded and photographed. By attending, You grant TNW a worldwide, perpetual, irrevocable, royalty-free license to capture, use, reproduce, and distribute Your image, likeness, voice, and name in any media for promotional, commercial, or editorial purposes.
You waive any rights to inspect or approve such materials and any claims for compensation arising from their use.
12. Prohibited Conduct
You agree not to engage in any conduct that may disrupt the Event or harm TNW, other attendees, or third parties. This includes, without limitation, unauthorized recording, data scraping, unsolicited marketing, harassment, impersonation, or violation of applicable laws.
13. Access Control and Credentials
You are responsible for safeguarding your Pass and credentials. TNW reserves the right to deny access where credentials are lost, shared, misused, or invalid.
14. Networking and Data Sharing
The Event may include networking tools and features, including badge scanning and attendee interaction platforms. You retain control over whether Your information is shared with other attendees or partners.
TNW shall not be responsible for the use, disclosure, or processing of personal data by third parties to whom You voluntarily provide your information.

15. Disclaimer of Warranties
To the fullest extent permitted by law, the Event and all related services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.
16. Limitation of Liability
To the maximum extent permitted by law, TNW shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, business interruption, or reputational harm.
TNW’s total liability arising out of or in connection with the Event shall not exceed the amount paid by You for the Pass.
17. Indemnification
You agree to indemnify, defend, and hold harmless TNW from and against any claims, damages, liabilities, costs, and expenses arising out of or related to Your attendance at the Event, Your conduct, or Your breach of these Terms.
18. VIP and Private Dinner Events
Certain Events may include access to invitation-only dinners, receptions, or similar hospitality experiences (“VIP Events”). These VIP Events may be hosted at third-party venues and may involve additional elements such as alcohol service and informal networking.
You acknowledge that such VIP Events are ancillary to the main Event and may involve additional risks. You agree that TNW shall not be responsible for the acts or omissions of third-party venues, nor for any incidents arising from alcohol consumption, interactions between attendees, or transportation to and from the venue.
TNW shall not be liable for any business decisions, agreements, or interactions that occur during such VIP Events. You agree to act responsibly and in accordance with all applicable laws and venue policies. TNW reserves the right to remove any participant from a VIP Event without refund.
19. Termination of Access
TNW reserves the right to terminate or restrict Your access to the Event at any time, without liability, if You breach these Terms or engage in conduct deemed inappropriate or unsafe.
20. Governing Law
These Terms and any disputes arising out of or in connection with them shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
21. Dispute Resolution
You agree that any disputes shall be resolved exclusively in the state or federal courts located in the State of Delaware. You further agree to waive any right to a jury trial and to bring claims only in an individual capacity, and not as part of any class or representative action.
22. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
23. Entire Agreement
These Terms constitute the entire agreement between You and TNW with respect to the Event and supersede all prior agreements, communications, or understandings.
