TNW In-Person Events – Terms and Conditions

These Terms and Conditions set out the rules for the registration and purchase of passes for TNW in-person events and the terms governing attendance at events organized by Cogneve, Inc., a Delaware corporation, doing business as The Next Web (“TNW”).

Definitions

Agreement
The agreement between You and TNW regarding the online registration and purchase of a Pass for an In-person Event, including these Terms and Conditions.

In-person Event
An in-person event organized by TNW as described on the Website.

Pass
The document serving as an admission pass for an In-person Event, including electronic passes.

Terms and Conditions
These TNW In-person Events Terms and Conditions.

TNW
Cogneve, Inc., a Delaware corporation, and its affiliated entities.

TNW Conference App
A third-party networking application made available to attendees and sponsors of an In-person Event.

VAT
Value Added Tax or equivalent applicable sales tax.

Website
The TNW websites, including but not limited to https://thenextweb.com and any other website used by TNW.

You / Your
Any natural person or legal entity that enters into an Agreement with TNW by purchasing a Pass and/or registering for an In-person Event.

Terms and Conditions

1. Applicability

Deviations from these Terms and Conditions apply only if agreed in writing by TNW. Any purchasing or other general terms of You are expressly rejected unless accepted in writing by TNW. By purchasing a Pass or registering for an In-person Event, You agree to be bound by these Terms and Conditions.

2. Availability

These Terms and Conditions are made available prior to concluding the Agreement and can be consulted via the Website.

Conclusion of Agreement

3. Formation

By clicking “Checkout” or “Continue” on the Website, You conclude an Agreement with TNW for the purchase of a Pass, provided that You have completed all required fields and accepted these Terms and Conditions.

Please inform TNW of any special access requirements at the time of purchase.

4. Contact Permission

By submitting registration details, You consent to being contacted as necessary for the organization and administration of the In-person Event. TNW may cancel the reservation if provided data cannot be verified.

Number of Tickets

5. Limits

TNW reserves the right to limit the number of Passes per purchaser. Applicable limits will be stated on the relevant Event page.

Payment of registration fees

6. Pricing

Pass prices are displayed with or without applicable VAT or taxes. Payments must be made in Euros, unless otherwise stated.

7. Payment Deadline

Registration fees must be paid prior to the Event. TNW may require on-the-spot online payment. No on-site cash sales are available.

8. Pay Later

Invoices issued under a “pay later” option must be paid within twenty-eight (28) days of the invoice date.

9. Non-Payment

TNW reserves the right to cancel Passes for non-payment.

10. Ticketing Platform

TNW uses Tito as its official ticketing and registration platform for In-person Events. All ticket purchases, registrations, transfers, and related transactions are processed through Tito and are subject to Tito’s applicable terms, conditions, and technical requirements, in addition to these Terms and Conditions.

TNW is not responsible for technical issues, delays, or errors attributable solely to the ticketing platform, without prejudice to TNW’s obligations under applicable law.

Transfer and Refund Policy

11. Transfer

If You cannot attend, You may transfer Your Pass to a third party using the link provided in the confirmation email. No refunds will be issued for non-attendance.

12. Resale Prohibition

Passes may not be resold or transferred for commercial gain. Any breach may result in immediate cancellation without refund.

13. Withdrawal

You may cancel the purchase of a Pass within fourteen (14) days after purchase by sending a written cancellation request to [email protected].

Passes purchased within fourteen (14) days prior to the start date of the In-person Event are non-refundable.
Approved refunds are subject to a €50 (fifty euro) processing fee and will be issued using the original payment method where possible.

Changes or Cancellation of Events

14. Rescheduling

TNW may reschedule Events due to force majeure or unforeseen circumstances. No refunds apply in case of rescheduling.

15. Cancellation

If an Event is cancelled, TNW will issue a full refund.

16. Program Changes

TNW may modify speakers, topics, or programming where justified. No refunds apply for such changes.

17. Liability for Changes

TNW is not responsible for costs incurred due to Event changes or cancellation.

Code of Conduct and House Rules

18. Code of Conduct

All attendees must comply with the TNW Event Code of Conduct and any applicable house rules governing conduct at an In-person Event. The Code of Conduct forms an integral part of these Terms and Conditions.

The Code of Conduct is made available on the Website and/or communicated to attendees prior to or during the In-person Event.

19. Availability at the Event

The Code of Conduct and applicable house rules are also made available at the In-person Event venue, including at the TNW information desk or through event-related communications or applications.

20. Admission Refusal

TNW reserves the right to deny admission or remove attendees for behavior deemed unacceptable or for breaches of these Terms and Conditions or the Code of Conduct.

Age Limit

21. Minimum Age

Attendees must be at least 18 years old unless expressly authorized by TNW.

Intellectual Property

22. Rights

Attendance does not grant rights to use TNW or third-party intellectual property.

Photography and Recording

23. Recording

Events may be recorded or photographed. You must inform photographers if You do not wish to appear.

24. Usage Rights

TNW may use recordings and photographs worldwide, in perpetuity, for promotional, reporting, and commercial purposes.

25. Waiver

You waive claims relating to such use, including privacy or publicity claims.

26. Recording Devices

Recording equipment other than personal mobile phones is prohibited without prior written consent.

Wristbands, Badges, and Networking

27. Access

Wristbands and badges must be worn at all times. Lost wristbands invalidate access.

28. Networking and Badge Scanning

Profile data may appear in the TNW Conference App. Sharing settings are controlled by You. Attendee lists may not be used for unsolicited marketing.

Badge scanning is optional and subject to Your consent. TNW is not responsible for third-party data usage. For details, see the Privacy Policy:

Attendance and Liability

29. Insurance

You are responsible for obtaining appropriate insurance coverage.

30. Limitation of Liability

TNW is liable only for direct damages caused by willful misconduct or gross negligence. Liability is capped at the Pass purchase price.

31. Personal Data

Personal data is processed in accordance with applicable privacy laws. See:

General

32. Severability

Invalid provisions do not affect the remainder of these Terms.

33. Amendments

Changes take effect thirty (30) days after publication on the Website.

Governing Law and Jurisdiction

34. Governing Law

These Terms, the Agreement, and the TNW Event Code of Conduct are governed by the laws of the State of Delaware, without regard to conflict of law principles.

35. Jurisdiction

Any disputes shall be submitted to the state or federal courts located in the State of Delaware, and You consent to their jurisdiction.
