When I red the very impressive and nice article from Boris (Thenextweb.com) about what he call Entrepreneurial Code of Conduct today I take a moment to think about. It is of cause a good idea to build this Code like big companies already try to do by there self with complete units nothing other do than write the company corporate governance. They included a process of customs, policies, law and many more. And yes there are examples that it works in the past, but only for one company. To build up a complete global Entrepreneurial Code will be not only a long way to go, I believe it will not change anything on the dark side of business. And in this special I don`t mean people like Bernie, Enron or other criminals. What I mean are companies like Cerberus or many other private equity companies. I would not say they are criminals in the way we define criminal. But they believe and of cause they can nearly do what they want. A good example is to buy company lending the price for the buyout through the company I buy. Its nearly unbelievable but it works. I know it because I worked for a smaller company in this sector and I already wrote some posts ago. So you have think about it, like you want to buy a car, and you have nearly no money, go to the car dealer and ask him if he would sell you the car but not you will have to lend a credit, no the car do it. So the risk for the credit is not on your side it is on the car side. I believe no car dealer will allow this kind of deal (if some where is a dealer, please contact me asap ;) ) For me this is crazy, I know the company I worked for buyout a smaller German Manufactory for round about 20 M. Euros, for the big guys it is only playing money but for us it was a nice deal. What we do after the buyout we gave over the credit to the company we bought. So we have the company, no depts. Next step we try to fix them (we know when we buy there is no way to fix the company). So we send out our “consulting” department who are billed of cause from the company we bought. In the end we win a lot of money and the company have to fill chapter 11 (Insolvenz in German). Yes after this deal I open my eyes in the morning and say, wow Arne that is not what you want to do. You want to build companies help them and not kill them.
So what I mean is there are a lot of rules and code of corporate governance but you will never can control the guys who have the real power, more power than the president of the united states or any other politician. These guys will ever play there own game and thats the problem.

But I hope your idea will come true for a lot of companies and small entrepreneurs, like in the past (long time ago) it had be done like the “Hanse” (http://de.wikipedia.org/wiki/Hanse) a social win & win situation for all people involved in the business. The main problem is that there are every time and every where people who want more ...

I really hope your ideas come true ....

Best,

Arne

Really nice Idea as usual Boris. But I believe the problem is that most people already do business like this, what is great, but there will be a few one, like today who will never play after the rules (as you mention Enron, Bernie and a few more). I mean the once I was working for in the past, big investors who know they have the complete power to do what they want to do. And believe me they also know how they can things for what Bernie and other bad guys have to go in prison.
Hopefully I am wrong and the system will start working like in the past at the Hanse or other gentleman like business Companies. Best, Arne

Great initiative!

Would be great if there is be a website where you can sign this Oath for all to see, hence creating a world wide group (list) of people who have taken the Oath, with a rating system so that others with whom you have done business can empower your Oath. (Because all depends on the entrepreneur acting accordingly - we all know how much of a guarantee the Hippocratic Oath is for ethical behaviour.)

I really like the idea of adding a sense of coherence to our community. I agree with Omar, it's a good first draft but needs more involvement.

PS I love your mobile interface! It looks very slick on the iPhone. Well done all around
